Terms of Service
These Terms of Service govern your access to and use of the websites, applications, plugins, software, and AI services provided under the SUAPP AI brand by Metapoleis Limited (“SUAPP AI,” “we,” “us,” or “our”). By using the Services, you agree to these Terms.
1. Our Services
The “Services” include SUAPP AIR, SUAPP AIC, SUAPP AIA, SUAPP AIM, SUAPP AIT, SUAPP AIF, and related websites, applications, plugins, downloads, account features, and support services. Features may use artificial intelligence to analyze user instructions and content or generate images, video, text, 3D assets, and other results.
2. Eligibility & Accounts
You must have the legal capacity to enter into these Terms. If you use the Services on behalf of an organization, you confirm that you have authority to bind that organization. You are responsible for providing accurate account information, protecting your login credentials, and all activity under your account. Notify us promptly if you suspect unauthorized access.
3. Paid Access, Subscriptions & Payments
Prices, included usage, billing periods, currencies, and any applicable taxes are shown at checkout or on the relevant product page. Payments may be processed by third-party payment providers. Subscription fees are charged at the start of each billing period and subscriptions continue until canceled through the available account or support process. Cancellation stops future renewal charges but does not reverse charges already completed, except where our refund policy or applicable law provides otherwise.
Usage allowances, credits, and product access are tied to the applicable account and plan. They have no cash value, may not be resold or transferred unless we expressly permit it, and may expire as stated when they are issued or purchased.
4. Acceptable Use
You may not use the Services to:
- violate any law, regulation, court order, or third-party right;
- create, upload, or distribute unlawful, deceptive, abusive, exploitative, or harmful material;
- infringe privacy, publicity, copyright, trademark, or other intellectual property rights;
- probe, disrupt, overload, bypass, reverse engineer, or gain unauthorized access to the Services or their safeguards;
- use automated means to extract data or access the Services beyond the interfaces and limits we provide; or
- misrepresent AI-generated content in a way that deceives others or causes harm.
We may investigate suspected misuse and restrict or terminate access where reasonably necessary to protect users, the Services, or third parties.
5. Your Content & Generated Output
You retain any rights you have in prompts, files, images, models, and other material you submit (“Input”). You confirm that you have the rights and permissions needed to submit Input and instruct us to process it.
You grant us a worldwide, non-exclusive license to host, copy, transmit, modify, and process Input and generated results only as needed to operate, secure, support, and maintain the Services, comply with law, and enforce these Terms. Our privacy policy explains how we handle personal information.
We do not use your prompts, uploaded files, or generated output to train or fine-tune AI models.
As between you and Metapoleis Limited, and to the extent permitted by law, you may use generated output for personal or commercial purposes. You are responsible for reviewing output before use and for ensuring that your use complies with applicable law and third-party rights. This permission does not grant rights in third-party material that may appear in an output.
6. AI Output Limitations
AI output may be inaccurate, incomplete, unsuitable, or similar to output generated for other users. It is not professional, engineering, legal, safety, or construction advice. You must independently evaluate dimensions, specifications, feasibility, code compliance, and other material decisions before relying on an output. We do not guarantee that any output is unique, protectable by intellectual property law, or capable of real-world implementation.
7. Our Intellectual Property
The Services, including their software, interfaces, models, workflows, branding, documentation, and content supplied by us, are owned by or licensed to Metapoleis Limited and are protected by applicable intellectual property laws. Subject to these Terms and your applicable plan, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services. No other rights are granted.
8. Service Availability & Changes
We may update, add, restrict, or discontinue features to improve the Services, address security or legal requirements, or respond to changes in third-party technology. We aim to provide reliable access but do not guarantee uninterrupted or error-free operation. Maintenance, network conditions, third-party systems, or events beyond our reasonable control may affect availability.
9. Suspension & Termination
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, create risk or harm, fail to pay amounts due, or if required by law. Where reasonably practicable, we will provide notice and an opportunity to address the issue. Provisions that by their nature should survive termination will remain in effect.
10. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
11. Limitation of Liability
To the maximum extent permitted by law, Metapoleis Limited and its directors, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunities. Our aggregate liability arising from the Services or these Terms will not exceed the amount you paid us for the Services during the 12 months before the event giving rise to the claim. These limitations do not apply where liability cannot lawfully be limited.
12. Governing Law & Jurisdiction
These Terms and any dispute or claim arising from or relating to them or the Services are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. You and Metapoleis Limited submit to the exclusive jurisdiction of the courts of Hong Kong, subject to any mandatory rights or forums that applicable law does not allow you to waive.
13. Changes to These Terms
We may update these Terms to reflect changes to the Services, law, or our operations. We will post the revised Terms on this page and update the date above. If a change materially affects your rights, we will provide additional notice where reasonably practicable. Continued use after the revised Terms take effect constitutes acceptance of the changes.
